1. Agreement to Terms

By accessing or using services provided by Semantic AI, LLC ("CloserEdge AI," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

CloserEdge AI provides custom AI employee configuration, automation development, and related digital services. All services are scoped on a per-project basis and delivered according to the terms agreed upon during consultation and onboarding.

3. Infrastructure and Hosting

AI employees run on dedicated private server infrastructure owned and managed by Semantic AI, LLC. While your data is isolated on dedicated infrastructure, the servers are owned, operated, and maintained by our team. We are responsible for uptime, security, and maintenance. You retain ownership of your business data.

5. Payment Terms

Payment terms, pricing, and billing schedules are specified in your individual service agreement. Monthly hosting and maintenance fees are billed in advance. Setup fees are billed upon project commencement.

6. AI-Generated Content

AI employees generate content (messages, drafts, summaries) based on your configuration and data. While we engineer these systems carefully, AI-generated content may occasionally contain errors. You are responsible for reviewing and approving all outbound communications before they are sent to clients or third parties.

7. Compliance

We build industry-specific compliance guardrails (Fair Housing, HIPAA, legal privilege protections) into each AI employee. However, ultimate compliance responsibility rests with you, the business owner. You are responsible for ensuring your use of our services complies with all applicable laws and regulations in your jurisdiction.

8. Limitation of Liability

To the maximum extent permitted by law, Semantic AI, LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost data, or business interruption.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, we will provide you with an export of your business data. Server infrastructure and AI configurations are the property of Semantic AI, LLC and will be decommissioned after data export is complete.

10. Modifications

We reserve the right to update these terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of our services after changes take effect constitutes acceptance.

11. SMS / Text Messaging Program

Program name: CloserEdge AI Customer Messaging.

Program description: When you provide your mobile number and agree to be contacted, CloserEdge AI (Semantic AI, LLC) sends you conversational, one-to-one text messages related to your inquiry and account with us. These may include appointment and consultation confirmations and reminders, account and onboarding updates, delivery of information or documents you requested, and replies to questions you text us. We only message people who have given us their number and agreed to be contacted. We do not message purchased lists and we do not send on behalf of any third party.

Message frequency: Message frequency varies based on your interactions with us.

Message and data rates: Message and data rates may apply.

Opt-out and help: Reply STOP to unsubscribe at any time, START to resubscribe, and HELP for help.

Mobile data: No mobile information or SMS opt-in consent will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for full details.
